There is hereby created for the city an arena/convention center board.

Sec. 8-27.  Membership; qualifications; compensation.

The board shall be composed of seven members. No city council member shall be a member.

Sec. 8-28.  Appointment.

The members of the board shall be appointed by the mayor with advice and consent of the city council. The members shall include the director of the Chamber of Commerce Convention Visitors Bureau and a representative from the hotel/motel industry.

Sec. 8-29.  Terms; filling of vacancies.

The term of each member of the board shall be for five years, or until a successor is appointed and qualified.

Sec. 8-30.  Officers.

The board shall elect from its members a president, vice-president and a secretary, each of whom shall serve for a term of one year or until a successor is elected and qualified. The vice-president shall act in the absence or disability of the president. In case of death or resignation of an officer, a successor shall be immediately elected.

Sec. 8-31.  Meetings.

The board shall hold regular meetings at least once a month.

Sec. 8-32.  Quorum.

Four members shall constitute a quorum and may, by resolution or motion at any meeting duly held, authorize any action within the power of the board.

Sec. 8-33.  General duties of the board.

The board may advise the mayor and council regarding the management and use of the arena and convention center. The board's duties may include, but are not limited to: (1) reviewing financial information regarding the city's financial interest in the arena and convention center; (2) recommending rate increases; (3) reviewing policies relating to public use of the facilities.

ARTICLE III.  ORPHEUM THEATER ADVISORY BOARD OF DIRECTORS

Sec. 8-35.  Created.

There is hereby created for the city an Orpheum Theater Advisory Board of Directors.

Sec. 8-36.  Membership.

The board shall be composed of seven voting members and five non-voting observer members.

Sec. 8-37.  Appointment.

The members of the board shall be appointed by the mayor with the advice and consent of the city council. The voting members shall include the fine arts director for the Sioux Falls School District, a person nominated by the Sioux Empire Arts Council, a person nominated by the Convention and Visitors Bureau of the Sioux Falls Chamber of Commerce, and other community leaders.

Sec. 8-38.  Terms.

Members of the board may be appointed for one-year, two-year, three-year or indefinite terms. Any term shall continue until a successor is appointed and qualified.

Sec. 8-39  Operation.

The board may establish rules for election of officers, meetings, and quorums.

Sec. 8-40.  General duties.

The board may advise the city, including its agents, regarding the management and use of the Orpheum Theater.
